What is Corporate Law in South Carolina?

Corporate law, also known as company law, shapes the entire life cycle of a corporation, from its birth to its daily workings and pivotal moments like mergers, acquisitions, or winding down. It acts as a guiding framework, ensuring that companies play by the rules when it comes to structure, finance, governance, and a web of state or federal regulations, including securities, labor, and environmental standards. At its heart, corporate law orchestrates the interactions between the company, its shareholders, directors, other businesses, and the public, navigating a landscape of intricate transactions and legal responsibilities.

The Role of Corporate Law Attorneys in South Carolina

Companies and corporations that operate in South Carolina have to abide by many regulations to minimize legal challenges, receive tax benefits, and more. Working with a corporate lawyer for guidance on these matters isn't just wise - it could be a pivotal decision that affects the life of your business.

Without great legal counsel from the start, business owners are exposed to a range of pitfalls, from poorly drafted agreements and intellectual property conflicts to regulatory missteps. Such mistakes may result in costly lawsuits or financial setbacks that proactive legal advice could have prevented.

Here are a few of the biggest benefits of retaining a corporate law lawyer in Mauldin, SC:

Startup-Advice

Startup Advice

Partnering with a skilled business attorney from the outset allows entrepreneurs to confidently navigate the hurdles of launching a company. Early legal insight is especially crucial, as it lays down a solid framework that safeguards your interests far into the future.

Take, for instance, the decision around business structure—whether to form an LLC, sole proprietorship, partnership, or S corporation. Each path comes with its own set of liability protections and tax consequences. Making an informed choice at the outset can lead to long-term savings, minimize risks, and potentially insulate you from personal financial exposure.

Contract-Creation

Contract Creation and Enforcement

One frequent mistake that business owners make is misinterpreting contracts. This can cause unfavorable disputes or terms. Contracts help govern a range of business relationships, like:

  • Supplier Contracts
  • Employment Contracts
  • Independent Contractor Agreements
  • Client Agreements
  • Partner Agreements
  • Investor and Stakeholder Contracts
  • Consultant Agreements

Each contract your business enters into is shaped by the unique dynamics between you and the other party involved. For instance, agreements with customers specify deliverables and payment terms, while contracts with consultants or contractors detail the services to be provided and the schedule for compensation. An experienced corporate law attorney can tailor these documents to maximize your company's legal safeguards and minimize potential risks.

Intellectual-Property

Help Protecting Your Intellectual Property

Safeguarding your company's intellectual property, like trademarks, copyrights, and patents, requires specialized legal expertise. A corporate business lawyer not only helps secure these rights but also guides you through registration, enforces protections, and drafts strong licensing agreements to leverage your assets.

Spot-Manage-Risk

Spot and Manage Risk

The world of business is full of potential risks, from financial pitfalls to unexpected legal challenges. Effectively navigating these uncertainties is crucial for preserving your assets, maintaining stability, and ensuring long-term success. Complex Business Formation in South Carolina

Launching a new business or growing an established one comes with excitement and opportunity. Yet, beneath the surface, careful attention must be given to planning, particularly when it comes to choosing the right legal framework for your company. At Cobb Hammett, our business formation attorneys understand that emerging and growing enterprises benefit from experienced legal guidance. We leverage our business insights to help clients identify and implement the optimal structure for their specific goals.

This is why working with a South Carolina business formation lawyer is so valuable—they offer strategic legal insight to safeguard your assets, reduce tax exposure, and position your business for long-term success.

Complex-Business

Business Formation Options Explained

Gaining a clear grasp of different business entity options is essential for choosing the right path. Every business structure brings its own set of features, benefits, and drawbacks. Our team specializes in crafting customized entity solutions to align with your distinct objectives.

Sole Proprietorships

A sole proprietorship stands out for its simplicity and low startup costs — just one person owns and manages the business, with no legal separation between personal and business assets. This ease of formation makes it a popular choice for small, lowrisk ventures. However, the owner assumes full personal responsibility for any business debts or liabilities, exposing personal assets to risk as the business expands or faces challenges.

Limited Liability Partnerships

A Limited Liability Partnership (LLP) lets professionals work together while protecting each partner from personal liability for others' mistakes. Partners share profits, and state laws vary, so expert legal advice is important.

Limited Liability Companies

The Limited Liability Company (LLC) stands out for combining strong personal asset protection with adaptable business operations. Members aren't usually personally responsible for company debts or legal claims, and LLCs offer a choice of tax treatments so owners can pick the setup that best fits their needs.

This flexibility and the simpler administrative requirements needed versus those at corporations make LLCs attractive to many small and medium-sized businesses. When it's time to draft an operating agreement, you should always consider working with a corporate law attorney in Mauldin, SC., who can outline ownership structure, management responsibilities, and financial arrangements among members.

C Corporations

A C Corporation (C Corp) operates as an independent legal entity, distinct from its shareholders. With robust liability protection, this structure is especially attractive to businesses aiming for venture capital investment or a future public offering.

C Corps can attract significant investment by issuing stock to an unlimited number of shareholders, making them well-suited for large or publicly traded businesses. The tradeoff is double taxation: profits are taxed at the corporate level, and dividends are taxed again for individual shareholders.

Complying with a C Corp's intricate legal requirements calls for professional legal guidance. From holding board meetings and keeping detailed records to properly issuing stock, a South Carolina business attorney can help ensure all corporate formalities are met.

S Corporations

An S Corporation (S Corp) lets qualifying businesses pass profits and losses straight to owners' personal tax returns, avoiding corporate tax. This bypasses double taxation seen in C Corps, but S Corps face tight rules: no more than 100 U.S. shareholders and only one class of stock allowed. A business attorney can confirm your eligibility and handle IRS filings so your S Corp stays compliant.

Not for Profit Corporations

A not-for-profit corporation applying for 501(c)(3) status exists to serve charitable, educational, religious, or scientific causes, not to generate profit. Any extra funds are funneled back into the mission, not distributed to owners. Achieving 501(c)(3) recognition brings tax-exempt status and lets supporters claim tax-deductible donations. Setting up and maintaining a nonprofit involves complex legal steps, making experienced legal help invaluable.

The above is just a brief snapshot of how Cobb Hammett attorneys help form business entities. Some additional entities we help form include:

  • Joint Ventures
  • Professional Corporations (PCs)
  • Family Limited Partnerships (FLPs)
  • Limited Partnerships
  • Business Succession Plans

Imagine a space where working parents can have a quiet area to work and check off that long to-do list while their kids play and get out energy – all in the same building. That’s exactly what is offered in Mauldin at the After School Plus facility. We checked it out and have all the details.

With remote work the standard for many jobs and the high cost of childcare, many parents are trying to figure out ways to keep their kids home while also trying to meet deadlines. Add in the explosion of homeschooling and a co-working space for parents is truly needed.

So that’s exactly what the massive space at After School Plus in Mauldin, called The Rhythm, is now set up for on Fridays. Parents can come and work in a quiet spot while their kids are in the same building under adult supervision.

Carrie Turner runs Acton Academy, a type of homeschool co-op, in the space on the other days of the week. She wanted to offer something on Fridays that she has been asked for over and over again: a co-working spot where parents could work while their kids would be entertained for a few hours. She answered the call and created The Rhythm.

The spot where this co-working space is located is right off 385 and just an ideal area for bringing kids to get out their energy. Greenville Gymnastics is right next door and there’s an enormous gym with plenty of space for games, crafts, or just hanging out on super comfy chairs.

The space also has a big cafeteria where kids can eat lunch, either with their new friends or with their parents, who are right upstairs.

There is no outdoor area for play yet, but it is in the works and plans are being discussed.

The rooms for co-working are honestly adorable. Comfortable chairs and couches line the walls. There are tables and desks if parents need them plus a separate private room for conference calls and Zoom meetings.

And what would a co-working spot be without a coffee machine? There’s a coffee maker, plus water and a fridge if you want to bring your lunch or other snacks.

Who knows, you could meet your next BFF here who is also just trying to manage working and raising her kids.

If there’s anything that parents ask for in the local mom groups over and over again, it’s a co-working space for parents. Carrie delivered it, and if parents really want this, they should show up and use it. The co-working spot is still in its infancy, but the hours could expand and more attractive options could be offered if the demand is there.

The space is huge for kids who want to either run around and play more active games or just hang out and play games or chat with friends. The space is beautiful for parents to work with comfortable chairs, coffee, and tables. I love the option of a private room for calls.

Currently, the hours of The Rhythm in Mauldin are Fridays (except for the week of Christmas and New Years) from 10 am – 2 pm. The cost is $30/four hours or $20/two hours per kid. An hour is $15/kid and $10/per sibling. Parents are welcome to bring their children ages 4-14, and since it is a co-working spot, they are asked to stay on the premises, as there is not a drop-off childcare option. You can sign up at the website.

Coffee, wifi, and printing is all included. There are light snacks and drinks available for purchase.

Kristina Hernandez is a mom of two girls, freelance writer and photographer. Originally from New Jersey, she is in love with the Upstate and could not imagine raising her kids anywhere else. She enjoys hiking to waterfalls, kayaking, camping, cooking, and exploring all that Greenville has to offer. And she really loves baby goats. Follow her on Instagram at @scadventurer.

The Pickle Yard, an indoor pickleball and sports park, will soon open in Mauldin in the Maverick Yards development.

Drew Parker and Jim Canavos co-founded the project. The two have collaborated on other destinations, notably The Commons in Greenville’s Unity Park. Canavos said The Pickle Yard, located at 15 Jenkins Court, will be open by Christmas but did not give an exact date.

Although it is primarily a pickleball facility, The Pickle Yard is also an eclectic entertainment destination.

“I am most excited to see this place come to life! People walking in with a smile, ready for fun, and leaving with new friends,” Parker said. “If Pickle Yard becomes that kind of community, built around great food, sport, and healthy living, then we’ve done something right.”

The facility capstones the Maverick Yards redevelopment project in downtown Mauldin, near City Hall and northeast of the busy Butler Road/Main Street intersection.

The Pickle Yard includes:

The courts and simulators can be rented by the hour.

Padel is a fast-growing racket sport that incorporates principals of tennis, badminton and squash. Similar to tennis and badminton, it has a net, but players can play off glass walls that surround the court.

Dilly’s Oasis is U-shaped, with TVs and about 30 feet of ADA-compliant bar space. Visitors can expect carefully considered bar fare, with options like bowls and salads on the menu. Along with Dilly’s, Daylight Burritos will provide services to the park, with some options provided by Luna Cafe in Simpsonville.

“We want to have as many reasons as possible for folks to come in here,” Canavos said, adding that their goal for the park was to create a space they would enjoy. The inclusion of a grass volleyball court comes from their daughters, who play volleyball.

GREENVILLE, S.C. (FOX Carolina) - Fans formed a line outside of Mauldin City Hall Monday on night to meet a World Series champion who grew up right in their backyard.

Justin Dean, who just won the 2025 World Series as a member of the Los Angeles Dodgers, was born and raised in Mauldin. He graduated from Mauldin High School in 2015 and played college ball at Lenoir-Rhyne before being selected by the Atlanta Braves in the 2018 MLB draft.

Dean’s path to the major league included seven seasons spent at the minor league level in both the Atlanta Braves and LA Dodgers organizations. He made his MLB debut with the Dodgers back in August, eventually helping the team win on the sport’s biggest stage in November.

“It’s a blessing,“ Dean said. ”An opportunity I didn’t know I would have, something I’ve always dreamed about. I’m glad to see it. I’m glad God blessed me to be able to make this happen, super appreciative of everybody who’s pulled up to support."

Dean signed autographs and took photos with fans outside of Mauldin City Hall before heading inside for a special announcement from the city. The entire event was initially planned to be inside, but was moved to the building’s front lawn to accommodate for the amount of people in attendance.

In front of his family, friends and fans, the City of Mauldin honored Dean and his achievement. Mayor Terry Merritt announced there will be a street named “Justin Dean Way” in Mauldin and declared that Dec. 6, 2025, the date of Dean’s 29th birthday, will be recognized as “Justin Dean Day.”

Those close to Dean know how deserving he is of such an achievement as both a player and person.

“I always gauge a person’s character and intentions by the way they treat my kids,” Mauldin athletics director and Dean’s high school coach Jim Maciejewski said. “And he always treats them like gold. He’s an outstanding young man.”

“I’ve literally watched Justin since he was about 8 years old,” city councilwoman Carol King said. “He comes from a great family, he’s a 2015 graduate here from Mauldin high school, went to college at Lenoir-Rhyne, so we’ve watched the whole journey. It’s been very exciting.”

King’s son played baseball with Dean when the two were younger, and the two families are still very close.

The smile did not leave her face, or that of Justin’s, for the entire event.

“I’m born and raised here, I’ve been here my whole life,“ Dean said. ”To be able to represent the city when I’m out is a blessing and for them to show love when I come back is a blessing in itself as well."

Dean was picked up by San Francisco on Nov. 6 and is now a member of the Giants organization.
